Company Secretary
Introduction:
The role is an important one to assist in compliance with corporate law requirements applicable to legal entities whose governance is managed by Private Bank, India.
What will you be doing

  • Conduct Board, Committee and Shareholders meetings as per the requirements of company law;
  • Draft agenda pack, resolutions and minutes of all meetings and also track actions to closure;
  • Ensure that the forms and returns required to be filed with ROC or any other regulator, are filed on a timely basis;
  • Prepare and maintain statutory registers and records of the Company and keep the data held on blueprint up-to-date;
  • Prepare Directors Report and Annual Report of the Company
  • Draft and review Policies and terms of reference of committees on an annual basis
  • Analyze and implement the changes in company law and related legislation and assist in developing systems/processes to ensure compliance with the same
  • Assist in special projects relating to legal entity reorganization, if any
  • Advise directors and management of their legal responsibilities; and
  • Ensure that the Company is compliant with the following at all times:
    • Companies Act;
    • Secretarial Standards;
    • Group Policies and Standards for Legal Entities and Directors;
    • Listing agreement, if any, executed with the stock exchanges;
    • Any other regulations impacting the corporate secretariat function.

What we’re looking for:

  • Qualified Company Secretary – Member of the Institute of Company Secretaries of India
  • 2 to 5 years of post-qualification experience preferably in BFSI sector
  • Any additional qualification would be preferable
