Job Purpose
• Lead the corporate secretarial function for TCHFL, ensuring high standard of corporate governance.
Responsibilities
Core Responsibilities:
o Ensure compliance with statutory and regulatory requirements under the Companies Act 2013 and various regulations applicable under Reserve Bank of India Master Directions applicable to NBFC.
o Ensure that business of the company is conducted and managed in accordance with its objects as contained in its memorandum of association and articles of association and the relevant provisions of the Companies Act.
o Maintain records, statutory filings, other secretarial compliances and such other activities delegated from time to time; and draft and implement various Board level policies required either under Companies Act, or as prescribed by RBI;
o Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
o Assist in the establishment and maintenance of policies, processes and controls within and across business groups so that the day-to-day business activities are in compliance with applicable laws and that any breaches of such laws, rules, regulations and internal policies are detected.
o Keep abreast of regulatory developments or other matters affecting the business activities, systems and controls and Communicate changes to policies, procedures and regulatory requirements and oversee implementation thereof.
o Carry out all matters concerned with the allotment of shares, and issuance of share certificates including maintenance of statutory share register and conducting the appropriate activities connected with share transfers.
o Co-ordinate with statutory and regulatory authorities (ROC, RBI, SEBI, MCA) including handling RBI Inspections including preparation of reports and furnishing of information/data as required.
